The Nominations Committee is responsible for reviewing the composition of the Board and Board Committees to ensure they are properly constituted and balanced in terms of skills, experience and diversity. It also manages the process for selection and appointment of any new directors and considers succession planning for the Board and other senior roles. The Board is responsible to UBM shareholders for the long-term success of the Group. It sets strategy and oversees its implementation, ensuring only acceptable risks are taken. It provides leadership and direction and is also responsible for corporate governance and the overall financial performance of the Group. All directors must act in what they consider to be the best interests of the Company, consistent with their statutory duties. The Board of UBM delegates day to day responsibility for running the Group to the Chief Executive Officer and executive management team.
Certain responsibilities are delegated to the Board’s Nominations, Audit and Remuneration Committees, which have written terms of reference that define their authorities, duties and membership. These Committees are made up exclusively of the Non-Executive Directors, as set out in their terms of reference.
